Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Trader Matrix LLC ("TraderMatrix," "we," "us," or "our") concerning your access to and use of the TraderMatrix platform, including the TraderMatrix website, our APIs, and the Vespryx browser extension (together, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date at the top of this page and, where practicable, by email notice. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Comply with all applicable laws and regulations in your jurisdiction
• Not be prohibited from using the Service under US law or the laws of your country of residence

By using the Service, you represent and warrant that you meet these eligibility requirements. The Service is intended for use in the United States. We make no representations that the Service is appropriate or available for use in other jurisdictions.

4. Account Registration and Security

Access to the Service requires creating an account. By creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access or security breach at admin@tradermatrix.pro
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent or abusive behavior, or that have been inactive for an extended period. One account per person; creating multiple accounts to circumvent access restrictions is prohibited.

5. Subscription and Payment Terms

5.1 Subscription Tiers

TraderMatrix offers a free tier with limited features and a paid Premium subscription that unlock additional features and data access. We also offer:

• a separate Developer API product, billed independently, for programmatic access to selected data;
• Vespryx, our browser extension, sold either on its own or at a reduced member rate that requires an active Premium subscription; and
• a bundle that combines Premium and Vespryx in a single subscription.

Current pricing for all tiers and products is displayed at checkout and in your account settings. We reserve the right to add, modify, or discontinue tiers and to change pricing with at least 30 days' advance notice to active subscribers.

5.2 Payment Processing

Payments are processed securely through Stripe, a third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle. We do not store your full payment card details on our servers.

5.3 Billing and Renewal

• Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date
• You will be charged the then-current subscription price (or your locked-in promotional rate, if applicable) unless you cancel
• Subscription fees are billed in advance for each billing cycle
• Price increases for existing subscribers will be communicated at least 30 days in advance

5.4 Promotional Offers and Discounts

We may offer promotional pricing, retention discounts, or other special offers at our sole discretion. Any discount described as "for life," "forever," or "permanent" applies for as long as you maintain a continuous active subscription. If your subscription lapses, is canceled, or is restarted, the promotional rate may no longer apply. We reserve the right to discontinue promotional programs with reasonable notice. Coupons and discount codes are non-transferable and may not be combined unless expressly stated.

Conditional member rates. Some products are offered to Premium subscribers at a reduced rate that is conditional on keeping that Premium subscription. This currently applies to the Developer API and to Vespryx. If your Premium subscription ends for any reason, the conditional rate ends with it and that product returns to its standard published price beginning with its next invoice. Because the reduced rate is a conditional discount rather than the product's price, its expiry is not a price increase and the 30-day notice in Section 5.3 does not apply to it. The standard price is shown at checkout, alongside the member rate, before you buy.

5.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle. You will continue to have access to the Service until the end of the paid period. Canceling your subscription does not delete your account.

5.6 No Refunds Policy

ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS FOR ANY SUBSCRIPTION PURCHASES, EXCEPT WHERE REQUIRED BY APPLICABLE LAW.

Once you purchase a subscription, you will not be entitled to a refund for:

• Unused subscription time after cancellation
• Dissatisfaction with the Service
• Changes to subscription features or pricing
• Account suspension or termination due to Terms violation
• Failure to cancel before the renewal date

If you believe you were charged in error (e.g., duplicate charge), contact us at admin@tradermatrix.pro within 30 days of the charge. We will investigate and, where a genuine billing error occurred, issue a correction. This does not constitute a general refund policy.

Please carefully review the features and pricing before subscribing. We encourage you to use the free tier to evaluate the Service before purchasing a paid subscription.

The standalone Refund Policy restates this section in full and forms part of these Terms.

5.7 Bundle Subscriptions

A bundle is a single subscription that carries more than one product for one combined price. It is billed as one charge on one billing cycle and is not severable:

• You cannot cancel one product within a bundle and keep the other. Cancelling a bundle ends access to every product in it at the end of the current billing cycle.
• The no-refunds policy in Section 5.6 applies to the bundle as a whole. We do not issue partial or pro-rata refunds for one product within a bundle.
• Bundle pricing is a combined rate, not a discount attached to either product individually, and it may change on the same 30 days' notice as any other price under Section 5.3.
• If you already hold a standalone subscription to a product included in a bundle, you must cancel that subscription before the bundle becomes available to you, so that you are never billed twice for the same product.

6. Affiliate and Referral Program

TraderMatrix operates an affiliate referral program that allows eligible users to earn commissions for referring new paying subscribers. Participation in the affiliate program is subject to separate affiliate terms, which are incorporated into these Terms by reference. Key provisions include:

• Commissions are earned only on qualifying paid subscriptions originated through your unique referral link or code
• Commissions are calculated on the net amount received after third-party payment processing fees are deducted from each qualifying payment. For example, Stripe's standard processing fee (currently 2.9% + $0.30 per transaction) is deducted from the subscriber's payment before your commission percentage is applied. This deduction is displayed transparently in your affiliate dashboard.
• Self-referrals are prohibited and will result in commission forfeiture
• We reserve the right to withhold, reverse, or void commissions obtained through fraud, abuse, or violation of these Terms
• Commission rates and payout terms are subject to change with 30 days' notice
• Commissions are forfeited if the referred subscriber's subscription is canceled or reversed
• We reserve the right to suspend or terminate affiliate status at our sole discretion

By participating in the affiliate program, you represent that all promotional activities comply with applicable law, including FTC disclosure requirements for material connections.

7. Acceptable Use Policy

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers, crawlers) to access, harvest, or copy data from the Service without our express written permission
• Interfere with or disrupt the Service or associated servers/networks
• Transmit malware, viruses, or any harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Harass, abuse, or harm other users
• Redistribute, resell, sublicense, or commercially exploit access to the Service or its data without a written Data License from Trader Matrix LLC (see Section 8.1)
• Use the Service to build a competing product or service
• Attempt to circumvent subscription restrictions through account sharing or other means

Violation of this policy may result in immediate suspension or termination of your account without notice or refund, and may subject you to legal liability.

8. Intellectual Property Rights

The Service and its original content, features, algorithms, scoring methodologies, and functionality are owned by Trader Matrix LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. This license does not include any rights to reproduce, distribute, publicly display, or create derivative works of any Service content.

TraderMatrix, our logos, and related marks are trademarks of Trader Matrix LLC. You may not use our trademarks, trade names, or branding without our prior written consent.

8.1 Personal Use and Data Licenses

Member plans, the Developer API, and the TraderMatrix MCP server are licensed for your own personal, internal use. You may not display, publish, redistribute, resell, sublicense, or build the data into a product, newsletter, community, bot, or service that others use, unless Trader Matrix LLC has signed a separate written Business or Enterprise Data License with you.

A Data License names the data groups it covers, the permitted use, the products or end customers it applies to, any attribution we require, and the fees. It covers only the data groups it names and applies only to the API key or keys it identifies. Using another key, including a personal key, to supply the licensed use is a breach.

A Data License covers TraderMatrix's own derived analytics, such as gamma-exposure levels, activity scores, and market-health readings. It does not grant rights in third-party market data (quotes, fundamentals, news, economic calendars, insider filings, or exchange data), which we receive under our own agreements and cannot sublicense.

Licensees must not present our data as personalized investment advice, must carry the disclaimers we specify, and must not publish performance claims for our signals unless we supply them. To request a Data License, email admin@tradermatrix.pro.

9. Data Accuracy and Service Availability

While we strive to provide accurate and timely information, you acknowledge that:

• Market data may be delayed, incomplete, or contain errors
• Third-party data providers (including Tradier and Finnhub) may experience outages or data quality issues outside our control
• We do not guarantee the accuracy, completeness, or timeliness of any data presented on the platform
• Service availability is not guaranteed; the Service may be interrupted for maintenance, updates, or unforeseen technical issues
• We reserve the right to modify, suspend, or discontinue any feature at any time without liability
• Options flow data reflects reported market activity and may not capture all trades or accurately reflect institutional intent

You acknowledge that you use the Service and its data entirely at your own risk.

10. Third-Party Services

The Service integrates with third-party services including:

• Google (OAuth authentication)
• Stripe (payment processing)
• Tradier (options market data)
• Finnhub (market data)
• Discord and other platforms (webhook delivery, at your configuration)
• TradingView, Fidelity, and the public financial and social websites on which the Vespryx browser extension displays an overlay

The Vespryx extension and third-party websites. Vespryx draws our own data on top of pages served by websites we neither own nor operate, including TradingView and Fidelity. We are not affiliated with, endorsed by, or sponsored by any of them, and their names and marks belong to them. Your use of those websites remains governed entirely by their own terms of service, and you are responsible for complying with those terms while using the extension. Those sites may change their pages at any time, which can degrade or break the overlay; that is outside our control and does not entitle you to a refund or service credit.

We are not responsible for the content, availability, privacy policies, or practices of third-party services. Your use of third-party services is governed by their respective terms. Outages or data quality issues at third-party providers are outside our control and do not entitle you to refunds or service credits.

When you configure webhooks to external services (such as Discord), you are responsible for ensuring that delivery of TraderMatrix data to those services complies with their terms of service and applicable law.

11. Copyright and DMCA

If you believe that any content on the Service infringes your copyright, please send a written notice to admin@tradermatrix.pro containing:

• Identification of the copyrighted work you claim has been infringed
• Identification of the allegedly infringing material and its location on our Service
• Your contact information (name, address, phone, email)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

12. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms arising from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government action, power or internet outages, third-party service failures (including market data provider outages), cyberattacks, or other events of a similar nature. In such events, our obligations will be suspended for the duration of the force majeure event. This does not affect your right to cancel your subscription.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA OR MARKET INFORMATION
• WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRADER MATRIX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE.

This includes, but is not limited to:

• Trading losses or investment losses of any kind, regardless of cause
• Loss of profits, revenue, business opportunities, or goodwill
• Data loss or corruption, even if we were advised of the possibility
• Service interruptions, errors, or delays
• Third-party service outages or data quality failures
• Any other damages arising from your use of or inability to use the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Trader Matrix LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your trading, investment, or financial decisions made based on information from the Service
• Any content you submit or share through the Service
• Your participation in the affiliate program

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming and applicable federal law, without regard to conflict of law principles.

16.2 Informal Resolution

Before initiating any formal dispute process, you agree to contact us at admin@tradermatrix.pro and provide a written description of your dispute. We will attempt to resolve the dispute informally within 30 days.

16.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through final and binding arbitration seated in the State of Wyoming, under the rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.4 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION, COURT PROCEEDING, OR OTHER DISPUTE RESOLUTION SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE ACTION OF ANY KIND. You may not bring claims as a plaintiff or class member in any purported class or representative action.

16.5 Jurisdiction and Venue

For any matters not subject to arbitration, you consent to exclusive jurisdiction and venue in the state or federal courts located in the State of Wyoming.

17. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• Chargebacks or payment disputes filed without merit
• Any reason at our sole discretion

Upon termination, your right to use the Service will immediately cease. No refunds will be provided for terminated accounts. Sections of these Terms that by their nature should survive termination will survive, including Sections 2, 8, 13, 14, 15, and 16.

18. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trader Matrix LLC regarding the Service and supersede all prior agreements, representations, and understandings, whether written or oral.
